Effective Date 10 September 2026
Version 2.0

These Terms govern your access to and use of QUOTAH as an individual user. QUOTAH is operated by ENFRAX SARL, Lebanon (ENFRAX, we, us or our). You may contact us at info@quotah.io.

By creating an account, purchasing a plan or QUOTAH Credit, uploading a file, confirming a processing request, downloading an Output or otherwise using QUOTAH, you agree to these Terms and the policies expressly incorporated into them. If you do not agree, do not use the Service.

These Terms apply only to individual-user accounts. Supplier, contractor, subcontractor, consultant, developer, owner, enterprise and marketplace services are governed by separate terms when those services are made available.

1 Definitions

Account means the individual-user account registered in your name. Order means the plan, subscription, top-up or processing request that you confirm through QUOTAH. Output means any report, estimate, classification, extraction, spreadsheet, RFQ draft, risk note or other material produced through the Service. QUOTAH Credit means a contractual usage unit used to obtain eligible processing within QUOTAH. Service means the QUOTAH website, application interfaces, individual-user workspace and related processing functions. User Content means files, text, instructions and other material that you submit.

2 Eligibility and Authority

You may use the Service only if you are at least 18 years old, have legal capacity to enter into a contract and may lawfully use the Service in your location.

You must register in your own name and provide accurate, current information. If you upload or process material owned by another person or organization, you confirm that you are authorized to use that material and to permit ENFRAX and its service providers to process it for the purposes described in these Terms and the Privacy Policy.

An individual Account must not be used as an undisclosed supplier, contractor, subcontractor, reseller, procurement agent, service bureau, marketplace participant or competing database collection channel.

3 The Individual User Service

QUOTAH is an AI-assisted construction intelligence tool. Depending on the functions available in your Account and the Order you select, the Service may accept BOQ spreadsheets, specifications and drawings in PDF format, manually entered project information and scanned documents processed through optical character recognition.

The Service may produce a project summary, indicative cost range, BOQ classification, RFQ package, spreadsheet export, and a report identifying possible gaps, conflicts, assumptions or risks. Any CAD or BIM material accepted by the Service is used only as a reference unless the applicable Order expressly states that structured model processing is included.

QUOTAH helps you organize and review information. It does not inspect a site, verify hidden conditions, validate design intent, certify quantities or rates, or replace professional engineering, quantity surveying, procurement, tendering, legal, tax, financial or safety review.

The individual-user Service does not contact third parties, collect supplier quotations, negotiate on your behalf, bind a supplier or contractor, issue a legal purchase order, approve a design, certify a tender or guarantee a final construction price.

4 Account Registration and Security

You are responsible for the accuracy of your Account information, the security of your credentials and activity carried out through your Account, except to the extent that unauthorized activity results from our failure to apply reasonable security measures.

You must use a strong password, keep credentials confidential, protect the devices used to access QUOTAH and promptly notify us at info@quotah.io if you suspect unauthorized access to your Account, payment method, User Content or Outputs.

We may require email or telephone verification, payment verification, anti-fraud screening or other proportionate checks necessary to protect users, the Service, payment systems or legal compliance.

5 Electronic Contract and Order Details

A binding Order is formed when QUOTAH presents the material commercial information for the selected service and you complete an affirmative acceptance action. That action may include selecting a non-preselected acceptance box, confirming a processing request, confirming Credit consumption or completing payment.

Before a paid Order or paid processing request is confirmed, QUOTAH will display the applicable plan or service, price, currency, tax treatment, billing frequency, renewal status, Credit allocation, validity period and Credit requirement or calculation method. You must review and correct the information available to you before confirmation.

The details shown in the Order summary or checkout control the price, currency, tax, renewal setting, package benefits, Credit allocation, validity period and disclosed usage limits for that Order. These Terms control all other matters. A mandatory legal disclosure presented at checkout controls to the extent of a direct conflict.

We may retain electronic records of the version accepted, acceptance text, language, date and time, Account and Order reference, package and Credit details, payment status, immediate-processing request and technical evidence reasonably necessary to establish consent, prevent fraud and resolve disputes.

6 Right to Use QUOTAH

Subject to these Terms and the applicable Order, ENFRAX grants you a limited, personal, non-exclusive, non-transferable and revocable right to access and use the individual-user Service for your own lawful project review, planning, estimation preparation, RFQ drafting and decision support.

You may not sell, rent, sublicense, share or transfer your Account or access credentials; copy or commercially exploit non-public parts of the Service; bypass access or Credit controls; scrape or extract platform data; reverse engineer non-public systems except where a non-waivable law permits it; or use QUOTAH to build or train a competing product, model or database.

7 User Content and Project Confidentiality

You retain ownership of your User Content, subject to the rights of its true owner or licensor. You grant ENFRAX and its authorized service providers a limited, worldwide right to host, copy, transmit, parse, extract, classify, translate, analyze, secure, display and create Outputs from User Content only as necessary to provide, maintain, secure and support the Service, comply with law, investigate misuse or defend legal claims.

We treat non-public project files as confidential User Content. We disclose them only to personnel and service providers that need access for the permitted purposes, or where disclosure is required by law, legal process, security protection, fraud prevention or enforcement of these Terms.

We do not use confidential project files or personal data to train general public AI models without separate, explicit consent. Cross-customer learning or intelligence derived from User Content is used only when the relevant information has been de-identified and the required permission has been obtained.

You must not upload material that you are not authorized to use, malware, unlawful content, classified or restricted government information, trade secrets you are not permitted to disclose, content that infringes another person's rights, or personal data that is unnecessary for the selected service.

8 Outputs and Human Review

Subject to payment, available Credit and compliance with these Terms, you may download and use Outputs for your own internal project review, planning, estimation preparation, RFQ drafting and decision support.

Every Output is preliminary, automated and unapproved. You must review the source documents, quantities, units, rates, classifications, assumptions, exclusions, confidence indicators, calculations and resulting recommendations before relying on or sharing an Output.

You must obtain qualified human review before using an Output for a bid, procurement decision, construction activity, engineering decision, contract, budget, financing, tax filing, claim, insurance, safety decision, statutory submission or other material external use.

You must not describe an Output as certified, guaranteed, field-verified, professionally approved, independently audited or legally binding unless an appropriately qualified professional has reviewed and approved it and you have authority to make that representation.

9 Platform and Intellectual Property Rights

ENFRAX and its licensors retain all rights in QUOTAH, including its software, models, workflows, databases, interfaces, designs, branding, documentation, methods and platform-generated improvements. These Terms do not transfer any ownership in the Service to you.

Feedback that you voluntarily provide may be used to improve QUOTAH without payment or restriction, provided that we do not identify you publicly or disclose your confidential User Content without permission.

10 Third-Party Services

QUOTAH may rely on cloud infrastructure, AI processing, payment, security, communications, analytics and support providers. Their services may be subject to separate terms or privacy notices when you interact with them directly, including through an external payment page.

We select and manage service providers using reasonable contractual, security and data-protection controls. We are not responsible for an external service that you independently choose or access outside QUOTAH.

11 Availability and Service Changes

We may maintain, improve, replace, suspend or discontinue functions, file formats, processing methods, packages, providers or Output formats. We will not retroactively change the paid benefits of a completed Order, and we will give notice of a material change to an active subscription where required by law.

The Service may be unavailable because of maintenance, network or infrastructure failure, third-party outage, security incident, payment-system interruption or an event beyond reasonable control. The Payment, Cancellation and Refund Policy describes the remedy for a paid processing failure.

12 Suspension, Termination and Account Closure

You may stop using QUOTAH and request Account closure at any time. Subscription cancellation, unused Credit, paid processing and data deletion are handled under the Payment, Cancellation and Refund Policy and Privacy Policy.

We may restrict, suspend or terminate access where reasonably necessary because of breach, non-payment, fraud, security risk, unlawful activity, abusive use, a legal requirement or discontinuation of the Service. We may act immediately where delay could expose a person, the Service, payment systems or evidence to material harm.

Where appropriate and legally permitted, we will notify you of the reason, allow you to provide relevant information and restore access if the issue is resolved. Mandatory refund, data and consumer rights remain unaffected.

13 Disclaimers

QUOTAH provides automated information and workflow tools. It does not provide legal, engineering, architectural, quantity surveying, tendering, procurement, tax, accounting, financial, investment, insurance or safety advice.

To the maximum extent permitted by law, the Service and Outputs are provided without any warranty that they will be uninterrupted, error-free, accurate, complete, current, suitable for a particular project, compliant with every specification, accepted by a third party or sufficient for a decision without professional review.

Nothing in these Terms excludes a warranty, remedy or consumer right that applicable law does not permit us to exclude.

14 Limitation of Liability

Nothing in these Terms limits or excludes liability that cannot lawfully be limited or excluded, including liability for fraud, intentional misconduct, death or personal injury caused by negligence where applicable, or mandatory consumer and data-protection remedies.

To the maximum extent permitted by law, ENFRAX is not liable for indirect, incidental, special, consequential or punitive loss, or for lost profit, lost opportunity, lost tender, lost contract, lost savings, business interruption, reputational harm or a third-party claim resulting from your use of an unreviewed Output, unauthorized User Content, inaccurate instructions or a decision made without required professional review.

To the maximum extent permitted by law, ENFRAX's aggregate liability arising from a paid individual-user Order is limited to the amount paid for the affected plan, subscription period, top-up or processing request that directly gave rise to the claim.

15 Communications and Changes to These Terms

We may send contractual, security, payment and service notices through your Account, the platform or the email address associated with your Account. You are responsible for keeping that address current.

We may update these Terms to reflect legal, security, technical or service changes. The current version and effective date will be published on QUOTAH. We will request renewed acceptance before a material change applies to an active paid Service where required by law. Changes do not reduce rights already accrued under a completed Order.

16 Governing Law, Disputes and Mandatory Rights

These Terms and each Order are governed by the laws of the Lebanese Republic. The competent courts of Beirut, Lebanon have jurisdiction, except where a mandatory consumer, e-commerce, data-protection or procedural law gives you a non-waivable right or forum in another jurisdiction.

Before starting formal proceedings, contact info@quotah.io with your Account email, Order reference, issue, requested remedy and supporting information. This requirement does not restrict an immediate right to contact a regulator, consumer authority, payment provider or court, or to seek urgent relief.

17 General Terms

If a provision is unenforceable, it will be limited or removed only to the extent necessary, and the remaining provisions will continue in effect. A failure to enforce a provision is not a waiver. You may not assign your Account or rights under these Terms without our written consent. ENFRAX may assign these Terms as part of a lawful reorganization, financing or transfer of the QUOTAH business, subject to applicable law and continued protection of your rights.

These Terms, the applicable Order and the incorporated policies form the agreement for the individual-user Service. They do not govern a separately contracted enterprise or professional service. Questions and legal notices may be sent to info@quotah.io.
